The Parties hereby agree to enter into a non-disclosure agreement under the terms set forth below:

ARTICLE 1 – PURPOSE

The purpose of this agreement is to ensure the confidentiality of any commercial, financial, technical, strategic, or other sensitive information shared between the Parties within the scope of an existing or potential business relationship.

ARTICLE 2 – DEFINITION OF CONFIDENTIAL INFORMATION

“Confidential Information” within the scope of this agreement includes all trade secrets and information disclosed in written, verbal, electronic, or physical form, including but not limited to business plans, customer data, supplier data, pricing, operational processes, offers, contracts, employee information, and similar data.

ARTICLE 3 – CONFIDENTIALITY OBLIGATIONS

The Parties agree to:

• Not share Confidential Information with third parties,
• Share such information only when necessary for the business and only with limited personnel,
• Exercise reasonable care to protect Confidential Information,
• Disclose such information only with written consent when deemed necessary.

ARTICLE 4 – EXCEPTIONS

The following shall not be considered Confidential Information:

• Information that is or becomes publicly available,
• Information lawfully obtained by either Party prior to this agreement,
• Information required to be disclosed by an authorized public authority.

ARTICLE 5 – TERM

This agreement shall be effective as of the date of signature and shall remain in force indefinitely between the Parties. However, the confidentiality obligation shall continue for at least five (5) years following the disclosure of any Confidential Information.

ARTICLE 6 – BREACH AND SANCTIONS

In the event either Party breaches this agreement, they shall be liable to compensate for any direct or indirect damages incurred by the other Party. Furthermore, the non-breaching Party reserves the right to seek injunctive relief and pursue other legal remedies.

ARTICLE 7 – GOVERNING LAW AND JURISDICTION

This agreement shall be governed by the laws of the Republic of Türkiye. Any disputes arising out of or in connection with this agreement shall be subject to the jurisdiction of the Courts and Enforcement Offices of Nevşehir.

ARTICLE 8 – MISCELLANEOUS

This agreement is drawn up and signed in two (2) copies.

• Any amendments to this agreement shall only be valid if made in writing and signed by both Parties.
